Terms of Service
Effective 30 September 2026.
These terms govern your use of WMS Serton (the Service), a web application for Manhattan Active WM delivery consultants, provided by DigiAutomate, a trading name of ZEN AI GOVERNANCE UK LTD, a company registered in England and Wales (company number 16827795), registered office 128 City Road, London, EC1V 2NX, United Kingdom(we, us). By creating an account you agree to these terms for yourself and, if you sign up for an organisation, for that organisation (you, the Customer).
1. The Service
The Service lets you keep an engagement's documents, discovery facts, delivery playbooks and deliverables in projects. It can propose discovery facts from documents you upload, answer questions from a project's own documents, and draft deliverables from templates. AI features produce drafts and suggestions, and you are responsible for reviewing them before you rely on them or give them to anyone else. AI output can be incomplete or wrong.
AI work runs on a private model that we operate, not through a public AI service. AI requests are queued and can take several minutes. While the AI service is unavailable, AI features wait or tell you they cannot run; the rest of the Service keeps working.
2. Accounts
You must give accurate sign-up details and keep your password secret. An account is for one named person. New accounts are approved by us, or by paying for a subscription. You are responsible for who you add to your projects and the access you give them. If you think your account has been used without permission, tell us at once at info@digiautomate.com.
3. Your content
You keep all rights in the documents and information you put into the Service (Customer Content), including client material. You give us permission to store and process Customer Content only to provide the Service to you, as described in the Data Processing Agreement. We do not use Customer Content to train AI models, and we do not share it with other customers. You confirm that you have the right to upload what you upload, including any permission you need from your own clients.
4. Acceptable use
Do not use the Service to break the law or anyone's rights, upload malware, try to reach data or projects you have not been given access to, probe, overload or get around the Service's security, or resell access without our written agreement.
5. Fees and payment
The Service is charged per user per month at the price shown on the product page when you subscribe (currently £149 per user per month; founding customers £99 per user per month, fixed for 12 months). Prices exclude VAT where it applies. Payment is by card where card payment is offered, or by invoice payable within 14 days. A subscription renews each billing period until it is cancelled. Fees already paid are not refundable, except where the law requires it or we end the Service without cause.
6. Cancelling and ending
You can cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or close an account that breaks these terms or does not pay. Unless the breach is serious, we will tell you first and give you a reasonable chance to put it right. When your subscription ends you can ask for an export of your Customer Content within 30 days; after that we delete it as described in the Data Processing Agreement.
7. Availability and support
We aim to keep the Service available and to fix faults promptly, but we do not promise that it will be uninterrupted or free of errors. Support is by email at info@digiautomate.com; see the support page. We may change the Service, but we will not remove a core feature you pay for without telling you in advance.
8. Other companies' products
Manhattan Active WM and other product names are trademarks of their owners. The Service is not made, endorsed or supported by Manhattan Associates.
9. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that the law does not allow to be limited. Subject to that, we are not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss, and our total liability in any 12 months is limited to the fees you paid us in those 12 months.
10. Changes to these terms
We may update these terms. We will tell you by email or in the Service at least 30 days before a change that reduces your rights takes effect.
11. Law
These terms are governed by the law of England and Wales, whose courts have exclusive jurisdiction.
